Common questions about incorporating in Singapore

How long does it take to incorporate a company in Singapore?

Once your company name is approved and KYC documents are in order, ACRA registration is usually completed within 1–2 business days. Name approval is often within an hour, unless it must be referred to another authority.

Can a foreigner own 100% of a Singapore company?

Yes. Singapore allows 100% foreign shareholding. You need at least one locally resident director and a registered office. Foreign founders without SingPass must incorporate through an ACRA-registered corporate service provider like ICS.

What is the minimum paid-up capital to start a Singapore company?

S$1. You can increase it any time. A higher paid-up capital such as S$50,000 is often used to strengthen an Employment Pass application, but it is not required to incorporate.

Do I need a local resident director?

Yes. Every Singapore company must have at least one director ordinarily resident in Singapore. If you do not have one, ICS can arrange a nominee director, assessed as fit and proper as required of corporate service providers.

Which structure is right — private limited, subsidiary, or branch?

Most founders choose a private limited company for limited liability and tax benefits. Foreign parent companies sometimes prefer a subsidiary or branch. ICS advises on the right vehicle and shareholding structure before you register.
