FAQs

Corporate secretary FAQs for Singapore companies

Do I need a company secretary in Singapore?

Yes. Every company must appoint a company secretary within 6 months of incorporation. The secretary must be a natural person ordinarily resident in Singapore, and a sole director cannot also act as the company secretary.

What does a company secretary actually do?

They maintain your statutory registers, file the annual return with ACRA, prepare AGMs and resolutions, and lodge changes to directors, shareholders and company particulars — keeping you compliant with the Companies Act.

When is my annual return due?

A private company must hold its AGM within 6 months of its financial year end and file its annual return with ACRA within 7 months of financial year end. ICS tracks these dates so you never miss a deadline.

What is a Register of Registrable Controllers (RORC)?

A record of the people or entities with significant control over your company. It must be set up from the date of incorporation and lodged with ACRA. ICS prepares and maintains it as part of your secretarial service.

Can I switch my corporate secretary to ICS?

Yes. We handle the change of corporate secretary, take over your statutory registers and filing history, and review any outstanding ACRA filings during onboarding.

Moving from another corporate secretary?

Switching is simpler than you think — we handle the handover and bring your registers up to best practice.
